Terms of Use

The rules for using our website, Exchange platforms and portals. Written to be read, not skimmed.

1.Acceptance of these terms

These Terms of Use are an agreement between you and Transnational AI, a Kolla family enterprise. By visiting our website, submitting a form, or accessing an Exchange platform or portal, you agree to them. If you are acting for an organization, you confirm you have authority to bind it, and "you" includes that organization.

Customers who license a platform under a separate written agreement are governed by that agreement where it conflicts with these terms.

2.Our services

Transnational AI operates the Employment, Invoice, Insurance and Compliance Exchange platforms and related websites and portals. We may change, suspend or retire features with reasonable notice to affected customers. Content on the public website is for general information and is not financial, legal or investment advice.

3.Accounts and access

  • You must provide accurate information when creating an account and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your account. Tell us immediately if you suspect unauthorized use.
  • Portal access is granted to named individuals and may not be shared. We may suspend access that we reasonably believe is compromised or misused.
  • You must be at least 18 years old to hold an account.

4.Acceptable use

You agree not to:

  • Use the services for any unlawful purpose or in violation of sanctions, anti-money-laundering, tax or data-protection laws.
  • Upload false, misleading or fraudulent invoices, policies, credentials or compliance evidence.
  • Probe, scan or test the vulnerability of our systems, bypass access controls, or interfere with service to other users.
  • Scrape, harvest or bulk-download data other than your own, or use automated tools to submit forms.
  • Reverse engineer, copy or create derivative works of the platforms except as permitted by law.

Security researchers acting in good faith under our Security page are not in breach of this section.

5.Your content

You keep ownership of everything you load into a platform. You grant us a limited license to host, process and display it solely to provide the service and as described in our Privacy Policy. You are responsible for having the rights and consents needed to share it with us and with counterparties you transact with.

6.Intellectual property

The platforms, website, software, models, documentation, trademarks and brand assets are owned by Transnational AI or its licensors and protected by intellectual-property laws. Nothing in these terms transfers ownership to you. Feedback you send us may be used without obligation.

7.Third parties and counterparties

Exchanges connect you with employers, suppliers, insurers, financiers and other counterparties. We facilitate those connections but are not a party to the contracts you enter with them and do not guarantee their performance. Links to third-party sites are provided for convenience and are not endorsements.

8.Fees

The public website is free to use. Platform fees, billing cycles and payment terms are set out in your customer agreement or order form. Fees are exclusive of taxes unless stated otherwise, and late amounts may accrue interest at the rate permitted by law.

9.Disclaimers

The services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the services will be uninterrupted or error-free, or that AI-generated outputs will be accurate or complete; you remain responsible for decisions you make using them.

10.Limitation of liability

To the fullest extent permitted by law, Transnational AI and its directors, officers, employees and family shareholders are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the services. Our total liability for any claim is limited to the fees you paid us in the twelve months before the event giving rise to the claim, or USD 1,000 if you paid none. These limits do not apply to liability that cannot be limited by law.

11.Indemnity

You will defend and indemnify Transnational AI against claims, losses and expenses arising from your content, your breach of these terms, or your violation of law or third-party rights.

12.Suspension and termination

You may stop using the services at any time. We may suspend or terminate access immediately for breach, legal risk or non-payment, and otherwise with reasonable notice. On termination, sections that by their nature should survive, including ownership, disclaimers, liability limits and governing law, continue to apply. We will make your content available for export for 30 days after termination unless law requires otherwise.

13.Governing law and disputes

These terms are governed by the laws of the jurisdiction stated in your customer agreement or, for website visitors, the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Before starting formal proceedings, both sides agree to try in good faith to resolve the dispute through direct discussion for 30 days. Nothing prevents either party from seeking urgent injunctive relief.

14.Changes to these terms

We may update these terms from time to time. We will post the revised version here with a new effective date and, for material changes, give customers and portal users at least 30 days' notice. Continued use after the effective date means you accept the updated terms.
